Investigations by the regulator (1/2): An opportunity for insider trading

In 2016 there was a legal ruling in the USA in which the court held that a company was not compelled to make disclosures concerning a Securities and Exchange Commission (SEC) investigation since the security laws impose no obligation to disclose mere investigations: disclosure is required only in case of litigation that is “substantially likely to occur”.
